Housed under the Legal and Institutional Business Risk & Governance Vice Presidency, the Nominee Directorship Center was established to guide equity teams in strategically and effectively exercising our nomination rights and supporting nominee directors in performing their board duties.
 
The Nominee Directorship Center is responsible for: 
 
Guiding Equity and Portfolio Teams
•  We provide frameworks, tools, and hands-on guidance for the effective management of IFC nominee directorships, including analytics informing the exercise of nomination rights, the sourcing & selection of candidates, compensation, and engagement with the nominee director.
 
Advising on Policies and Procedures
•  We review and approve of all nomination/appointment Memos, with provision of structural and personal conflicts of interest analysis (for internal and external nominees, respectively) 

•  We review and provide advice to VPs on policy waivers and keep ND policies and procedures up-to-date, incl.

consultations with the business on the relevant reviews.

 
Supporting Nominee Directors
•  We provide onboarding, ongoing education, and best practice resources for nominee directors to perform their fiduciary duties in the best interest of the companies they serve and all of their shareholders in line with IFC’s mandate and values. 
•  We draw on expertise from across the WBG and leverage its external convening power to offer first-class ongoing education to ensure our nominees remain abreast of cutting-edge best practices and trends in a rapidly changing world.
 
Fostering Thought Leadership

•  We contribute to IFC’s brand and lead among DFIs on nominee directorship management practices underpinned by robust analytics.

We develop in-house tailored knowledge bases based on IFC’s own experience to foster boardroom excellence in support of our investee companies’ long-term sustainable performance.

 
Improving Board Diversity

•  IFC promotes gender diversity in the boardroom by nominating women nominee directors at parity with male nominees.

The ND Center is jointly accountable with Global Equity Heads for maintaining our capital increase KPI of 50% women nominee directors and promoting DEI in our investee companies.

The ND Center partners with IFC’s Global Equity and Investment teams and draws on the expertise of experienced IFC staff from across the organization.
 
The ND Center is recruiting an experienced knowledge management expert with a corporate legal background and a good understanding of board matters.
 
Role & Responsibilities:
 

The ET Consultant will play a key role in informing best practices and collating resources for nominee directors.

The selected candidate will be based in Washington, DC, and report directly to the Head of the ND Center while working closely with other team members.

The candidates’ primary responsibilities will be to oversee a dedicated external website for nominee directors and an intranet web page with resources for investment teams, prepare a monthly newsletter, and coordinate the production of knowledge products, including videos.

 
Content Management & Publishing
•  Research content and oversee publications on the Nominee Director’s Website, which serves as the nominee director’s key knowledge platform. 
•  Oversee publications on the ND Center Intranet site, ensuring content is up to date with the latest knowledge pieces, events, training offerings, feature stories, blogs, etc.
•  Process, curate, categorize, and publish information, online resources, and data repositories.
•  Help with sourcing relevant and up-to-date policies, tools, best practices, country and sectorial trends, and links to training and networking resources for dissemination.  
•  Establish and refine metadata structure/taxonomy for information and data.
•  Provide web usage metrics reports quarterly. 
•  Ensure compliance with the IFC content management system for procedures and practices for information management. 

•  Ensure that web content is optimized for search and complies with IFC technical and editorial standards.

This includes seeking permissions to post external content.

 
Learning & Knowledge Events
•  Assist with webinars and events that facilitate knowledge-sharing amongst Nominee Directors. 
•  Provide support with organizing the annual forum and other flagship events.
•  Manage the webinar & events planning calendar and report event-related metrics. 
 
Newsletter Production
•  Design the monthly ND Center Web Update (newsletter) to convey the latest updates, stories, blogs, events, and recent research and perspectives.
 
Knowledge Production 
•  Coordinate the production of Nominee Director Exit interview videos, event recording, and post and dissimilation via relevant channels.
•  Coordinate the production of case studies and development impact stories.
   
The ET Consultant will work in close collaboration with the ND Support Center’s Associate Operations Officer and other team members.

 

Selection Criteria

 

•  Master’s degree in related field (Corporate Law, Business Administration, Corporate Governance)
•  At least 4 years of experience with knowledge management with a good understanding of equity investments and corporate board matters. 
•  Excellent oral and written communications skills in English, including the ability to summarize reports and draft knowledge content.
•  Ability to self-manage, multitask, and work under time constraints.

•  Excellent communication and interpersonal skills in English.

Other languages are a plus.

•  Strong analytical and problem-solving skills, sound business judgment to identify issues, and present creative and practical solutions.
•  Familiarity with WBG information management policies and knowledge applications and systems (platforms, channels, repositories) preferred.
•  Familiarity with online meeting technologies: WebEx, Zoom, and Microsoft Teams.
