Responsibilities: 

Our Legal Department advises Management, the Board of Executive Directors, and the Board of Governors on all legal matters relating to IDB Invest. As part of its functions, the Legal Department provides full legal support to Non-Sovereign Guaranteed (NSG) operations throughout the entire transaction cycle, including origination, portfolio management, workouts, and the development of new products. Also, we provide legal advice on all institutional and financial matters for IDB Invest, including governance, financial management, institutional integrity, and administration of human resources.

What you’ll do: Your main functions and responsibilities shall include the following, which involve different levels of expertise and complexity depending on your seniority:

  • Participate in project teams by providing expert legal advice in the origination, eligibility, due diligence, structuring, drafting, negotiation, documentation, closing, and disbursement of NSG lending, guarantee, and technical cooperation activities ranging in levels of complexity.
  • Provide legal advice on moderate to complex portfolio administration matters, including amendments and waivers of financing documentation, as well as restructurings, workouts, and litigation relating to impaired assets.
  • Coordinate cross-functionally with Investment Officers as well as Credit Risk, Environmental, Social and Governance, and Portfolio Management groups to ensure effective and efficient deal and post-deal execution.
  • Lead or support the drafting and regular updating of model financing documentation.
  • Identify creative legal solutions to effectively lead NSG operations ranging in levels of complexity.
  • Work collaboratively with attorneys from other multilateral development institutions to address a broad variety of complex legal issues.
  • Keep abreast of trends in legal issues across deals and, making recommendations for newly standardized approaches and, updated practices accordingly. Promote knowledge sharing and creative products and services with relevant stakeholders across IDB Invest.
  • Provide legal and strategic advice on the development and interpretation of IDB Invest policies, procedures, and products.
  • Oversee and deliver training on matters relevant to NSG operations.
  • Coordinate the selection and supervision of outside counsel services in an efficient manner.

Requirements:

Education: Master in Law (Juris Doctor, LL.M., or equivalent degree) from an accredited university and admission to practice law in at least one IDBG member country. You have knowledge and substantive legal experience in both Civil and Common law systems.

Experience: You have at least 5-6 years of relevant professional legal experience as an attorney since earning law degree. Your experience should include at least one of the following areas of expertise:

Equity Investments and Funds

  • Cross-border transactions: Direct equity investments, convertible loans, equity investments in private equity funds, loans, and loans with equity features such as warrant, convertible loans, and other equity participation structures across Latin America and the Caribbean.
  • Transaction Management: Structure, negotiate, draft, and close complex transactions, encompassing various legal documents such as NDAs, Term Sheets, Share Purchase Agreements, Subscription Agreements, Shareholder’s Agreements, Limited Partnership Agreements, Side Letters, Loan Agreements (with equity features), Intercreditor Agreements, Put Option Agreements, Policy Agreement, Convertible Notes, among others.
  • Venture Capital Expertise: Preparing, drafting, and negotiating venture capital transactional documentation based on recognized industry standards such as the National Venture Capital Association Models (NVCA).

Capital Markets, Structured Finance, and Supply Chain Finance

  • Cross-border transactions: local public issuances, private placements, partial credit guarantees, securitizations, warehousing facilities, receivables purchase agreements, unfunded participation agreements, and other capital markets, structured finance, and supply chain finance structures across Latin America and the Caribbean.
  • Transaction management: structure, negotiate, draft and close complex transactions, encompassing various legal instruments, such as NDAs, term sheets, bond subscription agreements, offering memorandums and bond supplements, securitization agreements, receivables transfer agreements, unfunded participation agreements, policy rights agreements, among others.

In addition, your experience should include:

  • Development Financial Institution (DFI) experience: Understandthe operational frameworks of the public sector and/or multilateral institutions (including their special governance, mandates, safeguards, and practices) both for the compliance of internal governance and to ensure compliance of DFI policies during transaction negotiations. Professional experience in private sector law firms in the U.S. and Latin America and the Caribbean.
  • Jurisdictional Knowledge: Extensive experience navigating legal frameworks across multiple jurisdictions, and managing due diligence processes.
  • Portfolio Management: Ability to provide comprehensive legal advice on both routine and intricate portfolio matters, including the sale and restructuring of transactions, while ensuring alignment with organizational objectives.

Languages: You are proficient (oral and written) in at least 2 official languages of IDB Invest (English, Spanish, Portuguese, and French), with knowledge of Spanish preferred.

Requirements

Citizenship: You are either a citizen of any of the countries where the position is located or a non-citizen eligible to acquire residency or authorization to work in the country in which you are to be assigned without the need for sponsorship by IDB Invest.

Consanguinity: You have no family members (up to the fourth degree of consanguinity and second degree of affinity, including spouse) working at the IDB, IDB Invest, or IDB Lab.
