Description
The successful candidate for this position will play a vital role in leading this technical group and will be expected to have educational qualifications in a relevant discipline, a strong professional background, a track record and an interest in corporate governance, as well as familiarity with IFC’s approach to corporate governance in EMDEs. The position is based in IFC Headquarters in Washington, DC and reports to Director, CRG.
Duties and Accountabilities
Risk Management, Investment Support and Corporate Contributions:
• Manage the Corporate Governance group, a global team of CG experts, including setting the group’s strategy, budget planning and staffing, recruiting and retaining CG talent, developing junior professionals and overseeing CG investment, advisory and knowledge operations.
• Lead the CG Team in supporting investment operations, including overseeing CG participation in client appraisal and portfolio operations and constant improvement of IFC’s CG Methodology and IFC’s approach to CG due diligence investments in all IFC projects.
• Position the CG Team as a center of excellence, supporting teams such as ESG Advisory Services (providing strategic advice and quality assurance), the Nominee Director Center, Treasury, Investor Relations, Climate Business, Corporate Business Risk, and Legal on project-specific and programmatic matters.
• Act as a trusted adviser to IFC Senior Management on CG-related issues.
• Lead the development and manage IT-based solutions (e.g., ESG360, MALENA) to facilitate CG risk management and operations.
• Collaborate with other business units within CLSVPU, particularly in the CRG Department, to identify opportunities to improve risk management and enhance value addition in supporting IFC clients.
Knowledge Leadership and Standard Setting
• Act as a guardian of the Corporate Governance Methodology (CGM) and related implementation tools, which provide a framework for analyzing and advancing corporate governance practices in EMDEs.
• Support global coordination of ESG and CG-related standards and represent IFC represent IFC in global CG forums (e.g., CG Development Framework, OECD Corporate Governance Principles, World Bank SOE CG Toolkit, International Corporate Governance Network).
• Lead the development of external knowledge products such as publications and tools to support investment and advisory clients, and the broader market in enhancing CG practices, focusing on the latest EMDE needs.
• Develop and maintain partnerships to increase the reach of the CGM and IFC CG knowledge products and tools (e.g., Climate Governance Initiative, UN Sustainable Stock Exchange Initiative).
• Work closely and collaborate with other IFC business units to identify opportunities to develop knowledge products where CG can be a lever to deliver better outcomes on issues such as E&S risk management, climate, responsible tax, and gender.
• Design, fundraise, and manage global CG advisory and knowledge development projects, to support regional and global clients and counterparts.
Selection Criteria
• 10 years of relevant experience in corporate governance and investment due diligence, preferably in a financial institution.
Strong professional background and client facing experience assessing and improving corporate governance in EMDE firms.
