JOB DESCRIPTION

Your Role

The Associate Legal Operations Administrator will provide analytical, technical and support coordination to the OGC team, comprising a number of International and National Staff and Consultants, who support the Trade and Supply Chain Division (TSCD) of ADB’s Private Sector Operations Department (PSOD), and specifically the Trade and Supply Chain Finance Program (TSCFP). The incumbent will report to the senior International Staff in such team and perform the activities described below.

You will:

a. Template Management

  • Maintain and support over 10 categories of master agreement, and over 5 categories of supporting documentation, used by the TSCFP across its corporate risk (supply chain finance) and financial institution risk (trade finance) origination and distribution (balance sheet management) activities. Ensure correct and formatting, and consistency of provisions across templates, and support regular proofing and updates of the same.

b. Preliminary Process and Governance Checks

  • Provide support in ensuring preliminary process checks are made in respect of potential clients and counterparties from a legal governance perspective, including checking legal names and jurisdiction of incorporation of clients, as against ADB’s no-objection letters, and status of New York Convention. Maintain a database of ADB’s no-objection letters applicable to the TSCFP, and New York Convention status for jurisdictions applicable to the TSCFP.

c. Documentation Production

  • Provide support in drafting client documentation for all products and activities of the TSCFP, across its portfolio of over 200 global, regional, and domestic banks and risk partners i.e. ensuring correct template is used, agreed client information included, and drafts formatted, edited, proofread, and fine-tuned as necessary. Production and checking of execution versions.

Qualifications

You will need:

  • Bachelor’s degree in business administration, commerce, management, accounting, or other relevant discipline (may be waived where you have equivalent relevant experience).
  • At least 5 years of relevant professional experience.
  • Proficiency with computer software in common use at the Bank, particularly MS Excel and Word and PowerPoint.
  • Excellent written and verbal communication skills in English.
  • Experience in trade finance is preferred.
